These Terms apply to both businesses (B2B) and consumers (B2C). The consumer protection provisions, in particular § 7 and Annex 1, apply to consumers only.

§ 1 Scope, contracting parties, definitions

(1) These General Terms and Conditions apply to all contracts between Rebecca Hall, trading as "Bex Dawson" (the "Provider"), and her clients (the "Client") for individual sessions, session packages, training, workshops, group formats and comparable services in the areas of presence, voice, performance and communication, in particular in English, both in person and online.

(2) A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession (§ 13 BGB). A business is a natural or legal person or a partnership with legal capacity that, when concluding the contract, acts in the exercise of its trade, business or self-employed profession (§ 14 BGB).

(3) Any deviating, conflicting or supplementary terms and conditions of the Client do not form part of the contract unless the Provider expressly agrees to them in text form (for example, by email). This also applies if the Provider performs the service without reservation while aware of conflicting terms.

(4) Individual agreements, in particular the client agreement, the offer or the order confirmation, take precedence over these Terms.

(5) These Terms apply in the version valid at the time the contract is concluded.

§ 2 Subject matter and nature of services

(1) The Provider offers services in presence, voice, performance and communication training, in particular for speeches, presentations, pitches and conversations in English. The specific scope of services is set out in the relevant offer, the client agreement or the service description published on the website.

(2) A session lasts 60 minutes unless otherwise stated in the service description.

(3) Contracts are service contracts within the meaning of §§ 611 et seq. BGB. The Provider owes professional and careful performance, but not a specific result. In particular, no specific learning, performance, career or economic result is owed.

(4) The Provider's services do not constitute medical, psychotherapeutic, speech therapy, healing-practice, legal or tax advice and do not replace such advice. General information, for example on the tax aspects of employer-funded training, does not replace individual tax advice. Where needed, professional advice should be sought.

(5) The Provider may engage suitably qualified third parties to help perform the services. The Provider remains responsible to the Client.

(6) The Provider offers free services, such as the 30-Minute Run-Through, without any legal entitlement. She may decline requests for them without giving reasons.

§ 3 Conclusion of contract

(1) The presentation of services on the website, in brochures or on social media is not a binding offer, but a non-binding invitation to submit an offer.

(2) By submitting a booking request through the online booking system, sending a request in text form or signing the client agreement, the Client makes a binding offer. The Provider checks every request personally. The contract is concluded when the Provider accepts the offer in text form, in particular by booking confirmation email, order confirmation or countersigned client agreement, or when she begins performing the service.

(3) The contract language is German. Sessions and correspondence may also take place in English on request.

(4) The Provider stores the contract text and sends it to the Client in text form together with these Terms.

§ 4 Prices, VAT and payment terms

(1) The prices stated in the offer, the client agreement or on the website at the time of booking apply.

(2) For consumers, all prices are stated as total prices including statutory VAT. For businesses, all prices are net, plus VAT at the applicable statutory rate.

(3) Travel, accommodation, room, catering and material costs are only charged if expressly agreed. Agreed travel costs are charged at actual cost.

(4) Payment is made by bank transfer or PayPal. Invoices are payable without deduction within 14 days of the invoice date unless otherwise agreed. Payment in advance may be agreed for session packages and open formats. In that case, the appointment is only firmly reserved once payment has been received.

(5) In the event of late payment, the Provider is entitled to charge default interest at the statutory rate: five percentage points above the base rate for consumers and nine percentage points above the base rate for businesses. Businesses may additionally be charged a flat fee of €40 under § 288 (5) BGB. The right to claim further damages is reserved.

(6) The Client may only set off claims that are undisputed or have been finally established by a court. Businesses may only exercise a right of retention on the basis of claims arising from the same contractual relationship.

§ 5 Appointments, delivery and client cooperation

(1) Appointments are binding once the Provider has confirmed them in text form.

(2) A minimum number of participants may apply to open formats. If it is not reached, the Provider may cancel the event up to seven days before the date. Any amounts already paid will be refunded promptly and in full. The Client has no further claims unless the Provider acted intentionally or with gross negligence.

(3) The Provider may change the venue, room or format where this is reasonable for the Client and the character of the service is preserved, for example by switching from in-person to online due to official restrictions or illness.

(4) For in-house formats, the Client ensures in good time that suitable rooms, the agreed technical equipment and the availability of participants are provided. If necessary cooperation is not provided, the service is deemed performed insofar as the Provider was ready to perform.

(5) Participation in voice, breathing and body-based exercises is at the participant's own responsibility. The Provider asks participants to tell her before starting about any health circumstances that could affect their participation. This information is voluntary and is only processed with separate consent; details are set out in the privacy policy. The Provider cannot take into account circumstances she has not been told about when designing exercises. The Provider's instructions on carrying out the exercises must be followed.

§ 6 Cancellation and rescheduling by the Client

(1) Cancellations and rescheduling must be made in text form. The time of receipt by the Provider determines whether a deadline has been met.

(2) Individual sessions, including the two-hour session, may be cancelled or rescheduled free of charge up to 48 hours before the appointment. For later cancellation or non-attendance, the full fee is payable.

(3) Session packages are valid from the conclusion of the contract as follows: six sessions for three months, twelve sessions for six months, 24 sessions for seven months. Individual sessions within a package may be rescheduled free of charge up to 48 hours before the appointment. For later cancellation or non-attendance, the session counts as used. Sessions not used by the end of the validity period expire; there is no refund. If a session is cancelled for reasons for which the Provider is responsible, the validity period is extended accordingly. In justified exceptional cases, such as prolonged illness, the Provider will extend the validity period reasonably on request.

(4) For workshops, group formats and in-house training, the following cancellation fees apply: no charge if the cancellation is received up to 30 days before the date; 50 % of the fee if received 29 to 14 days before; 90 % of the fee if received 13 days or less before the date, or in the event of non-attendance.

(5) Third-party costs already incurred and proven, in particular travel, room and material costs, must be reimbursed regardless of the time of cancellation, insofar as they cannot otherwise be avoided.

(6) The Client may prove that the Provider has suffered no loss or a significantly lower loss. The Provider may prove a higher loss.

(7) For group formats, the Client may name a substitute participant at no extra cost up to the start of the event, provided this does not conflict with the purpose of the event.

(8) Free appointments, such as the 30-Minute Run-Through, may be cancelled at any time free of charge. The Provider asks for as much notice as possible.

(9) Consumers' statutory right of withdrawal under § 7 is not affected by this section.

§ 7 Right of withdrawal for consumers

(1) Consumers have a statutory right of withdrawal for contracts concluded at a distance or off business premises. Details are set out in the withdrawal information in Annex 1. A model withdrawal form is attached as Annex 2.

(2) For contracts for services, the right of withdrawal expires early if the Provider has fully performed the service and only began performance after the consumer gave express consent and at the same time confirmed their awareness that they lose the right of withdrawal once the contract has been fully performed by the Provider (§ 356 (4) BGB).

(3) If the consumer expressly requests that performance begins before the end of the withdrawal period, the consumer must, in the event of withdrawal, pay proportionate compensation for the services provided up to the time of withdrawal. The amount is calculated on the basis of the agreed total price in proportion to the total scope of the services provided for in the contract.

(4) There is no right of withdrawal in the statutory exceptions under § 312g (2) BGB.

(5) Businesses have no right of withdrawal.

§ 8 Online formats

(1) For online formats, the Client is responsible for ensuring the technical requirements on their side, in particular a stable internet connection and working camera and audio equipment.

(2) There is no entitlement to uninterrupted availability of the platforms used. If a significant outage occurs for reasons for which the Provider is responsible, the Provider will offer a replacement appointment. Further claims are governed by § 12.

(3) Access details for online events are personal and may not be passed on to third parties.

§ 9 Photo, audio and video recordings

(1) Participants may not make any recordings, whether photo, audio or video, without the prior express consent of the Provider and of everyone shown.

(2) If the Provider makes recordings as part of the service, for example for video feedback, this is done solely on the basis of separate consent. Consent may be withdrawn at any time with effect for the future; the recordings will then be deleted.

(3) Recordings may only be used for advertising or reference purposes with the separate, express consent of the person shown.

§ 10 Copyright and rights of use

(1) All materials provided by the Provider, in particular scripts, handouts, exercise instructions, templates, presentations and recordings, are protected by copyright.

(2) The Client receives a simple (non-exclusive), non-transferable right, limited to the duration of statutory protection, to use the materials for their own internal purposes.

(3) Reproduction, editing, distribution, making publicly available or passing on to third parties, including in extracts, requires the Provider's prior consent in text form. This applies in particular to use in the Client's own training.

§ 11 Confidentiality

(1) Both parties undertake to treat as confidential all confidential information of the other party disclosed during their work together, and not to pass it on to third parties.

(2) The Provider treats as confidential any information that participants share about themselves or their organisation during training. In group formats, participants undertake to keep each other's information confidential.

(3) This obligation continues after the end of the contractual relationship. Statutory disclosure obligations remain unaffected.

§ 12 Liability

(1) The Provider has unlimited liability for intent and gross negligence, for injury to life, body or health, where a guarantee has been given, and under the Product Liability Act.

(2) In the event of a slightly negligent breach of an essential contractual obligation, meaning an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment the Client may regularly rely, liability is limited to the foreseeable damage typical for the contract.

(3) Otherwise, liability for slightly negligent damage is excluded.

(4) The above limitations of liability also apply in favour of the Provider's legal representatives and vicarious agents.

(5) The Provider is not liable for loss of or damage to items brought along unless she is at fault.

§ 13 Force majeure

(1) Force majeure events that make performance substantially more difficult or impossible for the Provider entitle her to postpone the service for the duration of the impediment plus a reasonable start-up period. Force majeure includes in particular natural disasters, official orders, epidemics, strikes and prolonged failures of telecommunications infrastructure.

(2) If the impediment lasts longer than eight weeks, either party may withdraw from the contract. Amounts already paid for services not yet provided will be refunded. No claims for damages arise in this case.

§ 14 Data protection

Personal data is processed in accordance with applicable data protection law, in particular the GDPR and the German Federal Data Protection Act (BDSG). Information on the type, scope, purpose and legal basis of processing, and on the rights of data subjects, can be found in the privacy policy at https://www.bexdawson.com/en/datenschutz.

§ 15 Final provisions

(1) Amendments and additions to this contract and any side agreements must be made in text form. This also applies to waiving this text form requirement.

(2) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers whose habitual residence is abroad, mandatory consumer protection provisions of their country of residence remain unaffected.

(3) If the Client is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contractual relationship is the Provider's place of business in Oberhausen. The Provider is also entitled to bring proceedings at the Client's general place of jurisdiction.

(4) Consumer dispute resolution: the Provider is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

(5) If any provision of these Terms is or becomes wholly or partly invalid or unenforceable, the validity of the remaining provisions is not affected. The invalid or unenforceable provision is replaced by the statutory provisions.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement.

If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract.

Early expiry of the right of withdrawal
